1099 Independent Contractor Handbook

Lead Generation · AI Automation · Digital Marketing · Sales Development

This sends staff contact details only for processing. It does not sign an agreement or create login access.

1.Purpose of This Handbook

This handbook establishes the professional standards, responsibilities, confidentiality requirements, and contractual expectations for independent contractors providing services to Ariatt Solutions (“Company”).

Ariatt Solutions works to help businesses generate qualified leads, improve sales opportunities, automate business processes, and increase operational efficiency through lead-generation strategies, AI-powered tools, and digital marketing solutions.

All independent contractors are expected to protect the Company’s reputation, client relationships, business information, and intellectual property while delivering professional services.

This handbook supplements, but does not replace, the signed Independent Contractor Agreement, applicable Statements of Work, and any required confidentiality or restrictive-covenant agreements.

2.Independent Contractor Status — Form 1099

Contractors engaged by Ariatt Solutions are intended to operate as independent businesses and not as employees, subject to applicable law and the actual working relationship.

Independent contractors:

  • Are generally responsible for their own federal, state, and local taxes.
  • Are responsible for maintaining any required business registrations, licenses, insurance, and permits.
  • May be responsible for their own equipment, internet access, telephone, software, and other operating expenses unless otherwise agreed in writing.
  • Are not entitled to employee benefits solely by virtue of this agreement, except where required by law or separately agreed.
  • Retain control over the manner and means of performing their contracted services, subject to agreed deliverables, deadlines, security requirements, and client obligations.
  • May provide services to other clients, subject to valid confidentiality, conflict-of-interest, and restrictive-covenant obligations.

A Form 1099 classification does not, by itself, determine independent contractor status. Ariatt Solutions and each contractor must comply with applicable worker-classification laws.

3.Contractor Roles and Responsibilities

Depending on the signed scope of work, contractors may perform the following duties.

A. Lead Generation Specialists

  • Research prospective businesses and qualified leads.
  • Identify decision-makers and relevant business contacts.
  • Maintain accurate prospect records in approved systems.
  • Verify lead information for accuracy and relevance.
  • Support outreach campaigns and appointment-generation initiatives.
  • Follow applicable privacy, telemarketing, email, and anti-spam requirements.
  • Document lead sources and campaign activity.

B. Sales Development and Appointment Setters

  • Conduct approved outreach to potential clients.
  • Qualify prospects according to established client criteria.
  • Respond professionally to inquiries.
  • Schedule discovery calls, consultations, and demonstrations.
  • Record interactions and follow-up dates in the designated CRM.
  • Confirm appointments and maintain accurate calendars.
  • Represent Ariatt Solutions truthfully and professionally.

C. AI Automation and Digital Marketing Contractors

  • Configure approved automation workflows and AI agents.
  • Support AI receptionist, customer response, and appointment-booking systems.
  • Develop approved marketing content and campaign materials.
  • Monitor workflow performance and report technical issues.
  • Protect client data, credentials, and system configurations.
  • Obtain approval before making material changes to client-facing systems.

D. General Professional Expectations

All contractors must:

  1. 1.Perform agreed services competently and professionally.
  2. 2.Meet contracted deadlines and deliverables.
  3. 3.Communicate material delays, errors, and client concerns promptly.
  4. 4.Maintain accurate records of completed work.
  5. 5.Avoid unauthorized promises, discounts, guarantees, or contractual commitments.
  6. 6.Follow applicable laws and approved client-specific requirements.
  7. 7.Escalate suspected fraud, data breaches, or unauthorized access immediately.

No contractor may guarantee a specific number of leads, appointments, sales, or revenue unless an authorized written agreement expressly provides for that guarantee.

4.Communication and Client Representation

Contractors representing Ariatt Solutions must use accurate company information and approved marketing materials.

Contractors may not:

  • Misrepresent their position, authority, experience, or relationship with the Company.
  • Promise services or results outside the approved scope.
  • Enter into client contracts on behalf of Ariatt Solutions without written authorization.
  • Collect client payments through personal accounts without written authorization.
  • Make unauthorized public statements about the Company or its clients.
  • Use deceptive marketing claims, fabricated testimonials, or misleading performance figures.

All client complaints, refund requests, contract disputes, and requests for material changes must be referred to an authorized Company representative.

5.Compensation, Invoicing, and Expenses

Compensation must be established in a separate written agreement or Statement of Work.

The agreement should identify:

  • Compensation method: hourly, fixed project fee, commission, or another agreed structure.
  • Payment rate or commission percentage.
  • Deliverables or qualifying events required for payment.
  • Invoice submission process.
  • Payment schedule and any applicable dispute procedures.
  • Approved reimbursable expenses.
  • Rules for commission adjustments, cancellations, refunds, and chargebacks, where applicable.

Contractors must submit accurate invoices and supporting documentation when required.

No contractor may change an agreed rate, promise a commission, or authorize an expense on behalf of Ariatt Solutions without appropriate written approval.

Payment disputes will be reviewed against the applicable signed agreement and governing law. The Company will not withhold undisputed compensation in violation of applicable law.

6.Confidentiality and Nondisclosure

During and after the engagement, contractors must protect confidential information obtained through Ariatt Solutions.

Confidential information includes, where not publicly available or otherwise lawfully excluded:

  • Client and prospect lists.
  • Contact information and lead databases.
  • CRM records, sales pipelines, and appointment histories.
  • Pricing, proposals, margins, and commission arrangements.
  • Marketing strategies and campaign performance.
  • AI prompts, automation workflows, and system configurations.
  • Software credentials, API keys, access tokens, and security procedures.
  • Business plans, internal processes, and trade secrets.
  • Client contracts and nonpublic client business information.

Contractors may use confidential information only to perform authorized services for Ariatt Solutions.

Contractors must not disclose, sell, copy for unauthorized use, transfer, or exploit confidential information for personal benefit or for another business.

Confidentiality obligations do not prohibit legally protected disclosures, lawful reporting to government authorities, disclosures required by law, or other activities that cannot legally be restricted.

Information that becomes public through no breach of this handbook, was lawfully known without a confidentiality duty, or is independently developed without use of confidential information may be excluded from confidentiality restrictions, as permitted by law.

7.Client and Lead Ownership

Lead records, prospect research, client account records, campaign data, and CRM information developed for or provided by Ariatt Solutions are Company-controlled business records, subject to applicable law and third-party rights.

Contractors must not:

  • Export or retain client lists for unauthorized purposes.
  • Divert Company-generated leads to personal businesses.
  • Redirect a Company prospect to another provider for private gain.
  • Sell or share client contact data without authorization.
  • Remove client records from approved systems without permission.
  • Use Company-funded research to compete unfairly against the Company.

Nothing in this section transfers ownership of a contractor’s independently developed materials or pre-existing tools unless expressly agreed in writing.

8.Data Security and AI Systems

Contractors must follow reasonable security practices when handling Company and client information.

Required practices include:

  • Using approved accounts and platforms.
  • Protecting passwords and enabling multifactor authentication where available.
  • Never sharing credentials with unauthorized individuals.
  • Using client data only for authorized business purposes.
  • Avoiding uploads of confidential information to unapproved AI platforms.
  • Reporting suspected account compromise, unauthorized disclosure, or data loss promptly.
  • Following applicable privacy laws and client data-processing requirements.

Contractors must not create unauthorized AI agents, launch outreach campaigns, change production systems, or connect external applications to client accounts without the necessary authorization.

9.Intellectual Property and Work Product

Ownership of work product must be addressed in the signed Independent Contractor Agreement.

Subject to that agreement and applicable law, deliverables specifically commissioned and paid for by Ariatt Solutions may include marketing copy, campaign materials, lead lists, reports, automation configurations, workflow documentation, and other project deliverables.

Contractors agree to execute reasonable documents needed to confirm ownership rights that have been validly assigned under the signed agreement.

Pre-existing contractor tools, templates, code, methods, and general know-how remain the contractor’s property unless otherwise agreed. Any license or assignment of those materials must be clearly documented.

Contractors must not incorporate third-party materials in a way that infringes intellectual property rights or violates applicable license terms.

10.Conflicts of Interest

Contractors must promptly disclose a material conflict that could affect their contracted duties, including misuse of confidential information, competing obligations involving the same client, or an inability to fulfill an agreed commitment.

Contractors may operate their own businesses and work with other clients, provided they honor valid contractual restrictions and do not misuse Ariatt Solutions’ confidential information, trade secrets, or protected client relationships.

11.Non-Compete, Non-Solicitation, and Protection of Business Interests

A. Protection During the Engagement

During the contractor’s engagement, the contractor must not use Ariatt Solutions’ confidential information, Company-funded resources, or client data to divert business opportunities improperly, interfere with an existing client engagement, or obtain an unauthorized personal benefit.

B. Limited Non-Solicitation of Clients

To the extent permitted by applicable law, during the engagement and for thirty-six months after termination or voluntary leave, the contractor agrees not to use Ariatt Solutions’ confidential information or Company-provided lead records to directly solicit a specific Ariatt Solutions client or active prospect with whom the contractor had material business contact through the engagement, for the purpose of diverting that relationship to a competing service.

This provision is intended to protect established business relationships, not to prohibit lawful competition generally.

It does not prohibit general advertising, responding to unsolicited inquiries, working with independently developed clients, or other conduct protected by applicable law.

C. Limited Non-Solicitation of Contractors and Personnel

To the extent permitted by law, during the engagement and for thirty six (36) months afterward, the contractor agrees not to use Ariatt Solutions’ confidential information to specifically target Company personnel or contractors with whom the contractor worked materially, for the purpose of inducing them to breach existing contractual obligations.

This restriction does not prohibit general recruitment advertisements, unsolicited approaches, or lawful employment and business activities.

D. Limited Non-Compete Restriction

If and only to the extent permitted by applicable law, the contractor agrees that for thirty six (36) months following termination or voluntary leave, the contractor will not use Ariatt Solutions’ trade secrets or confidential business information to operate or provide substantially similar services in a manner that directly and improperly exploits those protected interests.

Any broader restriction on providing services to a competitor must be separately stated in a written agreement that identifies the legitimate business interests being protected, the specific restricted activities, the geographic scope if applicable, the duration, and any required consideration.

This clause is not intended to prohibit a contractor from earning a living, using general professional skills, operating an independent business, or accepting lawful work for another client.

E. No Circumvention

Contractors may not knowingly use confidential Company information to bypass Ariatt Solutions and divert a specifically identified Company opportunity for personal gain in violation of their contractual duties.

F. Remedies

Ariatt Solutions may seek remedies available under the signed agreement and applicable law for proven breaches of confidentiality, intellectual property rights, or enforceable restrictive covenants. No provision creates a penalty or remedy that is prohibited by law.

G. Legal Review and Severability

The restrictive covenants must be reviewed for the governing jurisdiction before execution. If a provision is unlawful or unenforceable, it will be treated as provided by applicable law. Any judicial modification is subject to the governing law and the court’s authority.

12.Professional Conduct

Contractors must maintain professional conduct when communicating with clients, prospects, vendors, and Company representatives.

The following conduct is prohibited:

  • Fraud, falsification of work records, or knowingly misleading clients.
  • Harassment, discrimination, threats, or abusive conduct.
  • Unauthorized disclosure of confidential information.
  • Unauthorized use of Company branding or credentials.
  • Deliberate interference with client relationships.
  • Misuse of Company or client funds, accounts, or systems.
  • Knowingly violating applicable marketing, privacy, or consumer-protection laws.

Contractors must report serious misconduct or security concerns through the designated Company contact.

13.Performance and Quality Control

Performance will be assessed against the agreed scope of work and measurable deliverables, which may include:

  • Accuracy and completeness of lead records.
  • Qualified appointments booked.
  • Timeliness and quality of client communication.
  • Completion of assigned projects.
  • Compliance with approved outreach procedures.
  • Accuracy of CRM records and reporting.
  • Reliability and security of automation workflows.

Performance targets must be agreed upon in the applicable Statement of Work. Unless expressly contracted, performance metrics are not a guarantee of sales or revenue.

Where appropriate, Ariatt Solutions may request corrections to deliverables, clarification of work performed, or a remediation plan under the applicable agreement.

14.Termination of Engagement

The engagement may be terminated in accordance with the signed Independent Contractor Agreement.

The agreement should specify any notice period, termination for material breach, opportunity to cure where applicable, and treatment of outstanding invoices and commissions.

Upon termination, the contractor must:

  1. 1.Stop representing themselves as an active Ariatt Solutions contractor.
  2. 2.Return or securely delete Company and client information as directed, subject to lawful retention obligations.
  3. 3.Return Company-owned equipment and property.
  4. 4.Revoke or surrender system access and credentials.
  5. 5.Submit outstanding invoices and required project documentation.
  6. 6.Cooperate reasonably in transferring ongoing work.
  7. 7.Continue honoring surviving confidentiality, intellectual property, and enforceable restrictive-covenant obligations.

Termination does not eliminate payment obligations or other rights that accrued before termination.

15.Company Policies and Legal Compliance

Contractors must comply with laws applicable to their services, including, where relevant:

  • Federal and state privacy and data-security laws.
  • CAN-SPAM requirements for commercial email.
  • Telephone Consumer Protection Act requirements and applicable telemarketing rules.
  • Do-not-call requirements and applicable consent rules.
  • Intellectual property and licensing laws.
  • Applicable AI, consumer-protection, and advertising requirements.

Contractors must obtain required approvals before using automated calling, text messaging, email, or AI-generated communications in campaigns where consent, disclosures, or other legal requirements apply.

16.Acknowledgment

I acknowledge that I have received and reviewed the Ariatt Solutions 1099 Independent Contractor Handbook.

I understand that this handbook describes Company expectations and supplements the signed Independent Contractor Agreement and applicable Statements of Work. I understand that it does not, by itself, guarantee work, establish employee status, or replace the terms of a signed contract.

I acknowledge that confidentiality, client-data protection, intellectual property, and any enforceable restrictive covenants may continue after the engagement ends.

I understand that the non-compete and non-solicitation provisions require review under the applicable law and that only valid and enforceable provisions will be applied.
